These Terms of Service ("Terms") form a binding agreement between AskAI India Private Limited and the educational institution, trust, society, company, or other organisation that subscribes to or uses the AskCampus platform (the "Customer", "Institution", "you"). By signing an order form, accepting a proposal, clicking to accept these Terms, or accessing or using the platform, you agree to be bound by these Terms on behalf of the Institution.
The individual accepting these Terms represents that they are authorised to bind the Institution. If you do not have such authority, or do not agree to these Terms, you must not access or use the platform.
AskCampus is offered only to institutions and not to individual consumers. The contracting customer is the Institution — not its students, parents, guardians, teachers, or staff, and in particular not any minor (a person under 18 years of age). Students and parents who access the platform do so as authorised users of the Institution's account, under the Institution's own policies and consents, and not as parties to this agreement.
You represent that the Institution is duly constituted and authorised to operate as an educational establishment under applicable Indian law and is capable of entering into a binding contract.
AskCampus is a multi-tenant, cloud-hosted software-as-a-service platform ("the Service") designed to help Indian educational institutions manage academics, admissions, fees and payments, attendance, examinations, communication with parents and students, and related campus operations. The specific modules, capacity, and features available to you are determined by your subscription plan and any applicable order form.
We may add, modify, or remove features over time. We will not make changes that materially reduce the core functionality of a paid plan during a paid term without reasonable notice.
The Institution is responsible for designating administrators, creating and managing user accounts, and assigning roles and permissions within its tenant. The Institution is responsible for:

Subscription fees, billing frequency, and the applicable plan are set out in your order form or the plan you select. Unless stated otherwise, fees are stated exclusive of taxes. Goods and Services Tax (GST) and any other applicable Indian taxes, levies, or duties will be added and are payable by you.
Online payments are processed through our payment partner, Razorpay, and/or other gateways we may designate. By making a payment you also agree to the applicable payment partner's terms. We do not store full card details on our systems.
Fees are payable in advance for the subscription term unless otherwise agreed. Late payments may attract suspension of the Service as described in Section 14.
[[COUNSEL REVIEW: refund / cancellation terms — confirm refund window, pro-rata policy, non-refundable setup or onboarding charges, and how this interacts with the advertised "14-day free pilot" and "₹0 setup" claims on the marketing site.]] [[COUNSEL REVIEW: confirm pricing currency (INR), auto-renewal mechanics, price-increase notice period, and consumer-protection / unfair-contract-terms considerations under Indian law.]]The Institution owns all data it and its users submit to the platform ("Customer Data"), including student records, parent and guardian details, academic data, attendance, and fee and payment records. As between the parties, the Institution retains all right, title, and interest in Customer Data.
In respect of personal data within Customer Data, the Institution acts as the Data Fiduciary (controller) and AskCampus acts as a Data Processor processing such data only on the Institution's documented instructions and to provide the Service. Our handling of personal data is described in our Privacy Policy and DPDP compliance notice. We grant you the right to export your Customer Data as described in Section 14.
AskCampus and its licensors own all intellectual property rights in the platform, including its software, design, documentation, trademarks, and any improvements or derivative works. Except for the limited right to use the Service during your subscription, no rights are granted to you in the platform. Feedback you provide may be used by us without restriction to improve the Service.
We aim to provide a reliable, available Service and reasonable support. Unless a specific service-level agreement (SLA) or support tier is set out in your order form, the Service is provided without a contractual uptime guarantee. Support channels, hours, and response targets are described on our website and may differ by plan.
We warrant that we will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available", and to the maximum extent permitted by law we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or relating to this agreement.
[[COUNSEL REVIEW: limitation of liability cap — specify the aggregate cap (e.g., fees paid in the preceding 12 months), and decide which carve-outs survive the cap (e.g., data-protection breaches, confidentiality breaches, IP indemnity, payment obligations, gross negligence, wilful misconduct). Confirm enforceability under Indian Contract Act, 1872 and consumer-protection law.]]You agree to indemnify and hold AskCampus harmless from third-party claims arising out of (a) your breach of these Terms; (b) your unlawful use of the Service; (c) Customer Data, including any claim that it infringes a third party's rights or was collected or processed without the required consents; and (d) your failure to obtain verifiable parental or guardian consent for minors' data. We will indemnify you against third-party claims that the platform itself infringes Indian intellectual-property rights, subject to the limitations in this agreement.
Each party may receive confidential information of the other. The receiving party will use the disclosing party's confidential information only to perform under this agreement, protect it with reasonable care, and not disclose it except to personnel and subcontractors bound by similar obligations, or as required by law. Customer Data is the Institution's confidential information.
This agreement runs for the subscription term set out in your order form and renews as agreed. Either party may terminate for material breach not cured within a reasonable notice period. We may suspend the Service for non-payment, a security risk, or unlawful use, after reasonable notice where practicable.
Data export & deletion on exit: for a limited period after termination, you may export your Customer Data in a commonly used format. After that period, we will delete or anonymise Customer Data in accordance with our Privacy Policy and applicable law, except where retention is legally required.
[[COUNSEL REVIEW: specify the post-termination data-export window and the retention / deletion timeline, and align these with the retention periods stated in the Privacy Policy.]]Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, governmental action, failure of telecommunications or hosting infrastructure, or power outages.
This agreement is governed by the laws of India. Subject to the dispute-resolution clause below, the courts at Bengaluru, India, will have exclusive jurisdiction.
[[COUNSEL REVIEW: dispute resolution / arbitration clause — decide whether to mandate arbitration under the Arbitration and Conciliation Act, 1996, specify the seat and venue, number of arbitrators, language, and whether a pre-arbitration good-faith negotiation step applies. Confirm consistency with the governing-law city above.]]We may update these Terms from time to time. We will post the updated Terms with a revised effective date and, for material changes, provide reasonable notice. Continued use of the Service after the changes take effect constitutes acceptance.
